Current Trends in Executive Compensation (or Why Didn’t the Compensation Committee Approve What We Recommended?)

Companies and their compensation professionals typically put a lot of time, research and thought into the executive and incentive compensation recommendations they present to their Compensation Committees. Despite those efforts, when a Committee emerges from its closed-door session they’ve often approved something different than the recommendations that went into the meeting. What happened?

Compensation Committees face an often-difficult task: to support an organization and its leadership while also serving the interests of shareholders. Meridian will discuss several current external influences that have had increasing internal ramifications on compensation, such as:

  • Say on Pay

  • Shareholder engagement

  • Activists

  • Economic cycles (low commodity prices)

The discussion will shed light on what might have happened to the latest round of compensation recommendations and how HR departments can anticipate those outcomes.
