Closed Door Insights on Executive Compensation

We are entering into a new environment in which compensation committees—and, more broadly, boards—are now operating.   The components of compensation plans and the link between compensation and company performance are under intense scrutiny from shareholders, employees, policymakers, the media, and other stakeholders.

A panel, including sitting board members from both public and private organizations, will discuss their line-of-sight and what support is necessary to make decisions on executive compensation.  Topics will include how you can develop an executive compensation philosophy that supports the company’s business strategy, board considerations when setting executive pay, who should have a seat at the board table, concepts HR professionals could explore deeper and stories of success and disconnects between the board and management.


Duane Radtke
President and CEO, Valiant Energy
Director, Devon Energy Corp.

Duane Radtke serves as the Chief Executive Officer and President of Valiant Exploration LLC.   Previously, Mr. Radtke served as the Chief Executive Officer and President of Dominion Exploration and Production, a subsidiary of Dominion Resources, Inc., from 2001 to 2007. During that period, he also served as Executive Vice-President of Consolidated Natural Gas Company, a subsidiary of Dominion Resources, Inc. Prior to his tenure with Dominion Resources, Inc., Mr. Radtke was an executive with Santa Fe Snyder where he served in various capacities, including Executive Vice-President of Production. Following Devon’s acquisition of Santa Fe Snyder in 2000, Mr. Radtke served as President of Devon’s international division until joining Dominion.

Mr. Radtke is currently a director of Devon Energy Corporation where he is chairman of the compensation committee and a member of the reserves committee.  Mr. Radtke is currently a director of Kris Energy Ltd. and serves as chairman of both the investment committee and the compensation committee. He previously served as lead director of Sabine Oil & Gas Corporation, as chairman of the American Exploration and Production Council, as a director of Smith International, Inc., and as a director of Consolidated Natural Gas Company. Mr. Radtke is also non-executive chairman of Bazean Corporation, a private technology company. Mr. Radtke has also previously been a board member of multiple not for profit organizations.  Mr. Radtke holds a Bachelor’s degree in Mining Engineering from the University of Wisconsin, 1971.

Josh Henke, Senior Director

Josh Henke is a Senior Director with Alvarez & Marsal in Houston, Texas, specializing in compensation and benefits planning and consulting.  He is a Certified Executive Compensation Professional with over 14 years of experience in executive, independent director, and general employee compensation and retirement plan programs.  His practice focuses on a wide range of industries ranging from private and family-owned companies, not-for-profit organizations, up to Global Fortune 500 companies.  Josh’s service to these enterprises includes representation of both compensation committees and management.

Prior to joining A&M, Josh served as a Director and Practice Leader in Houston for Compensation & Benefit Solutions, LLC, a leading provider of compensation and benefit services headquartered in Denver.  Previously, he served as Executive Director with a boutique executive compensation and corporate governance consultancy in Houston for over 11 years.  He currently serves as an Advisory Board member for National Association of Corporate Directors Texas TriCities in Houston and Austin.  He is a member of WorldatWork, National Association of Corporate Directors, and Houston Compensation & Benefits.  Josh received his undergraduate business degree in marketing from Texas State University and his Certified Executive Compensation Professional and Certified Compensation Professional accreditations from WorldatWork.


Kim Ruth, Apex Partners

Kim’s Board Affiliations: Tri-State Capital Holdings, Holocaust Museum of Houston, Greater Houston Community Foundation

Kim Ruth has over 30 years of leadership experience in the financial services industry.  She currently serves as a director of TriState Capital Holdings (NASDAQ: TSC) and is affiliated with Apex Partners, LLC, where she provides investment banking advisory services.   She has acquired an executive skill-set running large organizations in a highly-regulated industry, with direct involvement in acquisitions and business turnarounds.  She has strong functional expertise in finance and significant public policy experience.   She is recognized for her strategic vision, delivery of extraordinary performance, superb people skills and cultural adaptability.    

Ms. Ruth retired in 2014 following a 20-year career with Bank of America in roles of increasing responsibility, including serving as Market and State President and Region Executive, Commercial Banking, reporting directly to the CEO of the line of business.  In one of her key roles she had P&L responsibility for an $850 million revenue business working with public and private companies across multiple industries.  During her tenure with Bank of America, she also provided executive leadership within the bank’s Merrill Lynch wealth management subsidiary, reporting directly to the CEO of the business.  

Prior to joining Bank of America, Ms. Ruth served in banking roles with JPMorgan Chase and State Street Bank for eight years. 

In addition to her public board experience, Ms. Ruth has extensive past non-profit board experience and currently serves on the board of The Greater Houston Community Foundation.  She is a member of Women Corporate Directors and National Association of Corporate Directors, expecting to be certified as an NACD Board Leadership Fellow this fall. A graduate of Bucknell University, Ms. Ruth and her husband, David, reside in Houston and have three grown children.
